Sellers Terms

Parties: This Vendor Agreement (“Agreement”) is made between BigBoy9ja, referred to as “the Platform,” and you, the individual or business submitting products to be listed on BigBoy9ja, referred to as “the Vendor.”

1. Purpose of Agreement

This Agreement governs the terms under which the Vendor’s products may be listed for sale on BigBoy9ja. BigBoy9ja operates as a premium Nigerian marketplace, curating high-quality items from select brands and sellers. All customer orders and payments are managed directly by BigBoy9ja.

2. Vendor Requirements

By entering this Agreement, the Vendor agrees that:

• All products submitted are authentic, accurately described, and fit for premium resale

• You are the legal owner or authorized distributor of all products listed

• All visual and written materials provided (images, descriptions) are free from infringement

• Product quality matches BigBoy9ja’s brand standard and positioning

3. Product Listing & Approval

• BigBoy9ja reserves full editorial control over how products are listed, priced, and marketed.

• Products may be edited, reordered, or removed at BigBoy9ja’s discretion.

• Vendor product pages may include brand information, social handles, and promotional content, provided it meets platform quality standards.

4. Ownership & Fulfillment

• The Vendor retains ownership of all inventory until BigBoy9ja finalizes the purchase via one of the approved listing models.

• Once an item is accepted for fulfillment, ownership transfers to BigBoy9ja.

• Vendors are expected to honor and respond to fulfillment requests, inventory checks, or product recalls within agreed timelines.

5. Listing Models

Vendors may choose from the following models:

Model A – Commission-Based Listing:

• You list products with BigBoy9ja exclusively or non-exclusively.

• BigBoy9ja processes all payments and takes a 3%–5% commission per successful sale, in addition to a ₦600 processing fee per order.

• You retain your inventory until sold, then ship or deliver per terms discussed during onboarding.

Model B – Direct Purchase by BigBoy9ja:

• BigBoy9ja buys your product outright, then resells at its own pricing and discretion.

• Ownership transfers once both parties sign a purchase confirmation agreement.

• BigBoy9ja assumes full responsibility for further sale and fulfillment.

All product listings must clearly indicate the chosen model.

6. Payment Terms

• Payments are disbursed to vendors on a weekly or bi-weekly cycle, depending on the model selected.

• For commission-based listings, payments are made after deducting applicable fees.

• Vendors must provide accurate bank/payment details and are responsible for all taxes on earnings.

7. Vendor Conduct & Responsibilities

• Vendors must respond to communication within 24–48 hours.

• Vendors may not misrepresent product conditions, branding, or licensing.

• BigBoy9ja reserves the right to suspend or permanently remove any vendor in breach of policy or quality standards.

8. Intellectual Property

• The Vendor grants BigBoy9ja a non-exclusive license to use brand names, images, videos, and product descriptions for marketing purposes.

• The Vendor affirms that all submitted assets are original or properly licensed for commercial use.

9. Liability & Indemnity

• BigBoy9ja is not liable for losses or damages resulting from Vendor-supplied information or goods.

• Vendors agree to indemnify and hold harmless BigBoy9ja from any claims, liabilities, or disputes arising from vendor misconduct, IP violations, or product defects.

10. Termination

Either party may terminate this Agreement with 14 days’ written notice. BigBoy9ja may terminate immediately if:

• Products are found to be counterfeit, stolen, or misrepresented

• The Vendor fails to meet service standards or violates policy

Upon termination, all unpaid dues shall be settled and listings removed.

11. Governing Law

This Agreement is governed by the laws of the Federal Republic of Nigeria, under NDPR and applicable commercial codes.

12. Agreement Acceptance

By submitting products for listing or continuing as a vendor on BigBoy9ja, you acknowledge that you’ve read, understood, and agree to be bound by this Vendor Agreement.
